Welcome to Loblaw Marketplace

This policy (this "Policy") governs your possible participation in a customer loyalty program ("PC Optimum Program") offered by Loblaw or our Affiliates, in connection with Loblaw Marketplace and the Services. Please note:

• This Policy is one of the Program Policies defined in the Agreement. It is incorporated by reference into the Agreement and is binding as part of the Agreement.
• Unless a term is specifically defined below, please check Section 35 – Definitions of the Agreement for its meaning.
• Solely to the extent of any conflict, the terms and conditions applicable to customers on any Site will prevail over this Policy.

1. Loblaw PC Optimum Offers.

a) Our Full Right to Make Offers

We and our Affiliates have the right, at our sole discretion, to make PC Optimum Program offers to customers on the Sites, including the ability to earn PC Optimum points or such other benefits as we determine. Without limitation, this means that we and our Affiliates may make PC Optimum Program offers on Your Products and Your Transactions. We or our Affiliates will have full control over our PC Optimum Program offers, including but not limited to selecting which of Your Products or Your Transactions, if any, will be the subject of our PC Optimum Program offers, the number of PC Optimum points (or other benefits) for each such offer and the duration of each such offer.

b) Our Responsibilities for Our Offers

If, at our sole discretion, we or our Affiliates make PC Optimum Program offers to customers on Your Products or Your Transactions, then we or our Affiliates will be fully responsible for all costs incurred for making such offers.

2. Your PC Optimum Offers.

a) We May Give You the Ability to Make Your Own Offers

Please reach out to us if you wish to make PC Optimum Program offers to customers purchasing any of Your Products on the Sites. We reserve the right, at our sole discretion, to determine your eligibility for the PC Optimum Program, including on a product-by-product basis, and the extent to which you may make PC Optimum Program offers on each of Your Products.

b) Terms of Your Offers

If we grant you the right to make PC Optimum Program offers on Your Products, we may impose restrictions and minimum requirements on your offers, including points incentive amounts and the duration of each of your offers. We may also require that you enter into a separate agreement with us relating to your offers. We will communicate the restrictions and minimum requirements relating to your offer and provide you with the form of agreement required, before you commit to making your offer.

c) Your Responsibilities for Your Offers

If, subject to the foregoing, you make PC Optimum Program offers relating to Your Products, then you will be fully responsible for all costs incurred for making such offers, including the cost of such PC Optimum points.

3. Joint PC Optimum Program Offers.

a) We May Invite You to Take Part in Joint Offers

At our sole discretion, we or our Affiliates may invite you to join us or our Affiliates in making joint PC Optimum Program offers to customers purchasing Your Products on the Sites.

b) Terms of Joint Offers

If we invite you to take part in a joint offer, we will select which of Your Products will be subject to the joint offer. We will work with you to determine the points incentive amount and points eligibility criteria for each joint offer. We may impose minimum requirements, including points incentive amounts and the duration of each joint offer. We may also require that you enter into a separate agreement with us relating to joint offers. We will communicate which of Your Products has been selected, the minimum requirements relating to each joint offer and provide you with the form of agreement required, before you commit to making such joint offer.

c) Your Responsibilities for Joint Offers

When we or our Affiliates invite you to take part in a joint offer, we will offer to fund a stated minimum percentage or amount of such joint offer. We will communicate such percentage or amount before you commit to making such joint offer. Except for the specific percentage or amount that we offer to fund, you will be fully responsible for all other costs incurred for making joint offers.

4. For All of Your Offers and Joint Offers

For all of your offers and joint offers relating to Your Products, the following apply:

a) PC Optimum Program requirements

You must comply with all applicable PC Optimum Program requirements then in effect, which we will provide to you, including:

• those relating to product images and display guidelines
• your obligation to provide advertising copy in both English and French and
• prohibition of offers that, in our sole discretion, would jeopardize the PC Optimum Program’s integrity.

b) PC Optimum Rates

The costs that you are required to pay in respect of your offers and joint offers to customers of Your Products under the PC Optimum Program will include our then-current rates charged to our sellers.
